Director Removals with CIPC
At the moment, InfoDocs does not support director removals.
What director changes are supported at InfoDocs?
- Appointments
- Resignations (when a director steps down)
- Deceased terminations (when a director passes away)
These are all processed online, verified by OTPs and finalised directly through CIPC.
Why director removals are different
CIPC back office review: Once lodged, the removal request goes to the CIPC Back Office, where additional supporting documents are often required before the change is approved. This is usually dependent on the reasons for removal.
Supporting documents CIPC usually requests
When reviewing a director removal, CIPC may ask for:
- A signed mandate allowing the filer to make the director change on CIPC through their customer code
- Board or shareholder resolution removing the director
- Proof the director received notice of the meeting
- Certified share register
- Certified ID copies of all directors and the filer
If anything is missing or unclear, the application will be rejected for rework or queried.
Why InfoDocs doesn’t support removals (for now)
Because removals always require manual document checks at CIPC, the process is less predictable and higher risk than resignations.
To keep the platform simple and reliable, InfoDocs has temporarily paused support for removals until a smoother way to manage these extra requirements can be built.
What you can do instead
Use InfoDocs for director appointments, resignations, and deceased terminations.
If you need to file a removal, you must submit it directly with CIPC and be prepared to upload all the supporting documentation listed above.
Please note: Removals are governed by Section 71 of the Companies Act, 2008, which sets out the process for shareholder or board-initiated removals. Always ensure your company follows the correct legal steps before lodging the change with CIPC.
