Member Changes on CIPC: What Documents You Need and How It Works

Changing members of a Close Corporation (CC) on InfoDocs? Here’s what you need to prepare, submit and avoid to ensure your application is accepted by CIPC.


What you'll need


In line with CIPC’s Notice 51 of 2024, you’ll need to submit the following supporting documents after lodging the member change on InfoDocs:


  1. Certified ID Documents


You'll need to submit certified ID copies (not older than 3 months) for:

  • All incoming and outgoing members.


If you’re submitting a Smart ID card, the front and back must be certified and appear on the same page otherwise, CIPC may reject it.


  1. CK2 Form


  • This is emailed to you by CIPC (from [email protected]) after you lodge the change via InfoDocs.
  • All members (incoming and outgoing) must sign the CK2.


  1. Member Resolution


  • A resolution confirming the appointment or resignation of members. This will be sent to you in a document request email from InfoDocs after lodging the change.
  • All affected members must sign the resolution.


  1. Proof of Transfer - Members’ Interest


A signed written document confirming who is transferring what % to whom.

The accepted formats for this document are:

  • Resolution
  • Agreement
  • Meeting minutes
  • Declaration


Your proof of transfer must include:

  • Full names and ID numbers of both parties
  • Percentage of interest transferred
  • Close Corporation name and CK number
  • Signatures of transferor, transferee and a witness
  • Full name and surname of the witness


Please note: CIPC frequently rejects submissions missing a witness signature or witness’s full name.


Example Clause (for guidance only):

I, [Transferor Full Name], ID [ID Number], hereby transfer [X]% of my member’s interest in [Close Corporation Name], CK [CK Number], to [Transferee Full Name], ID [ID Number], with effect from [Date].

Where to Send the Documents


Once you’ve submitted the change and received the CK2 from CIPC:

  • Email to: [email protected]
  • Subject line: Your CIPC tracking number (e.g. 9450661826)
  • Attachments: All files must be in .PDF or .TIF format


Common Reasons for Rejection


  • Certified ID documents are missing, expired, or unclear
  • Smart ID not properly certified (front and back not on one page)
  • Proof of transfer is missing or unsigned
  • Especially no witness signature or no full witness name
  • CK2 form not signed by all required parties
  • Member interest does not total 100%
  • Subject line missing the tracking number
  • Email sent to the wrong address
  • Files not in PDF or TIF format


Pre-Submission Checklist


Before sending your email to CIPC, confirm:


Checklist

Certified IDs for all incoming and outgoing members

Signed CK2 (received from CIPC)

Signed Member Resolution

Signed & witnessed Proof of Transfer

Member interest totals exactly 100%

Files are in PDF or TIF format

Email subject = CIPC tracking number (e.g. 9451234567)
