How to appoint an accounting officer

According to the Closed Corporations Act it is mandatory for each corporation to appoint an accounting officer, and if a vancancy arises a new officer must be appointed within a period of 28 days. Failure to appoint an Accounting Officer within the designated time frame, will result in non-compliance.

Log in to your InfoDocs account here. If you don’t already have an account, register for a free trial.

Step 1: Navigate to the Members Tab and under Actions, click on Appoint Officer.



Step 2: In the box that pops up, you can either search for an individual already on your profile or manually enter the details of the person being appointed. Click Next to continue.



Step 3: Next, stipulate the date of appointment, and in the appointment box, make sure to select the accounting officer and to complete their professional body details. Click Save to continue.



Step 4: InfoDocs will automatically generate a resolution and consent to act accounting officer and the CK2A form. Download and save these documents, find them in the Template Library later, then click Submit to CIPC.



Step 5: Once you have selected Submit to CIPC, you will receive an email from InfoDocs with all the supporting documents attached as well as the CK2A, pre-populated for you.

Step 6: In order to finalise this appointment, send the following documents to manualck2@cipc.co.za

Verified/Certified ID – Resigning officer
Verified/Certified ID – Newly appointed officer
Letter of Resignation – to be signed by the resigning officer
Member Resolution – Accounting Officer Appointment of Newly Appointed Accounting Officer (to be signed by the members)
Consent to Act as Accounting Officer – to be signed by the newly appointed accounting officer
Amended Founding Statement (CK2A) – to be signed by the members
